Terms of Use Agreement

These Terms of Use ("Terms") and the Binding Arbitration Clause (see Section 16) form a legally binding agreement between you ("You," "User," or "Participant") and FlippX, Inc. ("FlippX," "we," "us," or "the Company"). These Terms govern your use of the FlippX digital rewards and engagement platform, including our mobile applications, websites, user accounts, virtual coin systems, entertainment features, referral programs, promotional reward activities, and all other products or services provided through or in connection with FlippX (collectively, the "Platform" or "Service").

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE FLIPPX PLATFORM, OR BY CREATING AN ACCOUNT, YOU AGREE TO BE LEGALLY BOUND BY:

• These Terms,
• Our Privacy Policy, and
• Any additional rules, policies, or guidelines referenced or linked within the Platform (collectively, the "Incorporated Policies").

Tracking Technology Disclosure

By using the Platform and accepting these Terms, you acknowledge and agree that FlippX may use cookies, pixels, JavaScript, and similar tracking technologies for analytics, security, performance enhancement, and marketing optimization. You waive any claims related to the use of such technologies, past or future, to the fullest extent permitted by law. FlippX disclaims liability for any claims arising from or associated with digital tracking technologies.

User Affirmations

By accessing or using the Platform, or by clicking an acceptance box where these Terms are presented, You affirm and agree that:

• You are of legal age and authorized to enter into this Agreement.
• You have read, understood, and accepted these Terms in full.
• You agree to comply with all rules, participation guidelines, and policies applicable to the FlippX Platform.
• You understand that FlippX provides digital entertainment and promotional reward experiences, not gambling or wagering.

Platform Disclaimer

FLIPPX IS NOT SPONSORED, ENDORSED, ADMINISTERED BY, OR AFFILIATED WITH APPLE® OR GOOGLE®. ANY INFORMATION YOU PROVIDE THROUGH THE PLATFORM IS PROVIDED DIRECTLY TO FLIPPX, INC., AND NOT TO APPLE®, GOOGLE®, OR ANY OTHER DEVICE OR OPERATING SYSTEM PROVIDER.

1. Introduction & Acceptance of Terms

By accessing or using the FlippX digital rewards and engagement platform ("Platform"), including our mobile applications, websites, interactive experiences, virtual coin systems, promotional reward features, and any related services or tools, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use ("Terms"). These Terms form a legally binding agreement between you and FlippX, Inc. ("FlippX," "we," "us," or "the Company").

If you do not agree with these Terms, you must discontinue use of the Platform immediately and refrain from creating or accessing a FlippX account.

1A. Changes to Terms of Use and Incorporated Policies

1A.1. Updates to These Terms

FlippX may modify, update, or amend these Terms from time to time. Any changes will be reflected in the updated version posted on the Platform. We may also provide notice of material updates by email or through in-app notifications; however, we are not required to do so.

Whether or not you review such notifications, your continued use of the Platform after updated Terms are posted constitutes your acceptance of the revised Terms.

1A.2. Updates to Incorporated Policies

FlippX may also revise any of the Incorporated Policies, including but not limited to the Privacy Policy, User Guidelines, or Participation Rules. Updated versions will be posted within the Platform. It is your responsibility to review these documents periodically. Continued use of the Platform signifies acceptance of any changes.

1A.4. Conflicts Between Terms

In the event of any inconsistency or conflict between these Terms and the Incorporated Policies, these Terms shall govern and prevail unless expressly stated otherwise.

To access or use the FlippX Platform, you must:

• Be at least 18 years old, or the age of majority in your jurisdiction—whichever is higher.
• Be physically located in a jurisdiction where digital engagement platforms and promotional reward activities of this nature are legally permitted.

FlippX may use geolocation, device verification tools, or other technology to determine your location and enforce eligibility restrictions. Access to certain features, promotional rewards, or digital activities may be limited, restricted, or unavailable depending on your state, province, or country.

FlippX reserves the right to deny, suspend, or restrict Platform access to any User if required by law or if deemed necessary to maintain compliance and operational integrity.

3. Definitions

Virtual Currency

Digital tokens used within the Platform to participate in engagement activities and digital entertainment features. Virtual Currency has no real-world monetary value, is non-transferable, and cannot be redeemed for cash. In certain cases, Users may redeem accumulated promotional rewards for gift cards or digital perks, where expressly permitted by FlippX.

User Content

Any material submitted, uploaded, or shared by Users on the Platform, including messages, usernames, avatars, images, posts, and other user-generated content.

Influencer

A User who has entered into a promotional or marketing partnership with FlippX and may receive certain promotional rewards, commissions, or exposure-related benefits in accordance with a separate agreement.

Content

All text, graphics, interfaces, photographs, trademarks, logos, artwork, sounds, music, animations, computer code, virtual assets, and any other materials displayed on, used by, or made available through the Platform.

Customer Account

A registered User account established to access and participate in the Platform's digital engagement features.

Excluded Territory

Includes, but is not limited to, the U.S. states of Washington and Idaho, all U.S. territories, the province of Quebec in Canada, and any region where Platform access or digital reward activities are restricted by applicable law.

FlippX Coins

A form of Virtual Currency used to access digital entertainment features within the Platform. FlippX Coins may be obtained through participation, promotions, engagement bonuses, or purchase. They cannot be transferred, sold, or exchanged for cash, and they do not represent real money.

FlippX Coin Activities

Digital entertainment features or engagement experiences that may be accessed using FlippX Coins. Users may earn additional FlippX Coins or promotional rewards redeemable for gift cards or digital perks through participation. No real-money prizes are awarded.

Fraudulent Conduct

Any prohibited behavior defined under Section 13, including manipulation of Platform systems, deceptive actions, or attempts to misuse digital rewards.

Game / Interactive Experience

Any digital entertainment feature, interactive activity, or engagement experience made available on the Platform. FlippX may add, modify, or remove such features at any time.

Inactive Account

A Customer Account with no login or logout activity for 12 consecutive months.

Platform

The collective digital environment offered by FlippX, including mobile apps, websites, features, tools, content, engagement systems, and services under the FlippX brand.

Player / You / User

Any individual accessing or using the FlippX Platform, including those who register an account or participate in interactive experiences.

Terms of Use (Terms)

This agreement, together with all incorporated policies and updates.

Third-Party Websites

Websites or services not owned or controlled by FlippX.

Virtual Coins

An umbrella term referring to all forms of Virtual Currency offered on the Platform, including FlippX Coins.

Wallet

The section of a User's account displaying Virtual Currency balances, promotional reward balances, transaction history, and redemption activity.

We / Us / FlippX

Refers to FlippX, Inc. and its affiliates, subsidiaries, or successor entities.

XP (Experience Points)

Non-monetary loyalty credits earned through participation on the Platform. XP may be used to unlock digital rewards, acquire FlippX Coins, or redeem select gift cards or digital perks, where offered. XP has no cash value, is non-transferable, and cannot be exchanged for money.

✅ 3A. Limited Revocable License ("License")

3A.1 Use of Virtual Coins

FlippX provides Users with access to Virtual Currency ("Virtual Coins") solely for use within the Platform's digital entertainment features. Virtual Coins may include credits, tokens, or other representations used for engagement activities. Regardless of terminology, all Virtual Coins:

• Are non-redeemable for cash
• Are non-transferable
• Hold no intrinsic monetary value
• Cannot generate real-world financial returns

Virtual Coins and related activities are intended exclusively for entertainment and engagement, not for gambling or wagering.

Users may, however, receive promotional rewards, which may be redeemable for gift cards or digital perks when explicitly offered by FlippX.

3A.2 Grant of License

Subject to these Terms, FlippX grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Platform, including Virtual Coins and digital entertainment features, solely for personal, non-commercial engagement.

This license does not grant ownership of any Platform content or assets.

FlippX may, at its discretion and in accordance with applicable law, manage, adjust, or remove Virtual Coins, promotional systems, or other Platform features without liability.

3A.3 Prohibited Transfers & Account Sharing

Virtual Coins may not be:

• Sold
• Transferred
• Gifted
• Exchanged between Users

Any attempt to transfer or assign your FlippX account or Virtual Coins violates these Terms and may result in:

• Immediate account suspension
• Loss of Virtual Coins, XP, or bonuses
• Legal action where applicable

3A.4 No Purchase Required

Users may access the Platform's digital entertainment features without making any purchase. Users may receive free Virtual Coins through:

• Account creation
• Daily rewards
• Engagement bonuses
• Promotional offers

Purchasing Virtual Coins is optional and may enhance the experience but is never required for participation.

All purchases are final. FlippX does not issue refunds. If your account is suspended, closed, or if the Platform ceases operations, unused Virtual Coins or XP may be forfeited.

3A.5 No Ownership Rights

You acknowledge that:

• Virtual Coins, XP, and digital rewards remain the property of FlippX
• You receive only a limited license to use them
• No ownership rights are transferred to you

3A.6 Intellectual Property & Platform Ownership

All rights, title, and interest in the Platform—including all code, artwork, features, branding, interactive experiences, and digital materials—are owned by FlippX or its licensors. You may not alter, obscure, or remove any proprietary notices or intellectual property markings.

3A.7 Restrictions on Use

You agree NOT to:

• Sell, sublicense, rent, or distribute the Platform or any component
• Copy, modify, decompile, or reverse engineer any portion of the Platform
• Interfere with Platform operations or overload servers
• Share accounts or bypass access restrictions
• Extract or harvest Platform content for scraping or external databases
• Misrepresent FlippX branding or ownership
• Upload Platform materials to file-sharing repositories
• Use the Platform for harassment, abuse, or unlawful activity

Violation of this License may result in immediate account termination and potential legal consequences.

4. Eligibility

4. Eligibility

Your continued ability to access and use the FlippX Platform depends on your full and ongoing compliance with these Terms. By using the Platform, you acknowledge and agree to the following:

4.1 Age Requirement

You must be 18 years of age or older, or the legal age of majority in your jurisdiction—whichever is higher. You must also be legally permitted under local laws to use digital entertainment services and participate in promotional reward activities. If you do not meet these requirements, you may not access or use the Platform.

4.2 Compliance With Local Laws

FlippX does not provide legal advice. You are solely responsible for ensuring that your use of the Platform complies with all applicable laws and regulations in your jurisdiction. You agree not to use any tools or methods intended to bypass regional restrictions, including VPNs, proxies, GPS manipulation, or similar technologies.

4.3 Responsibility for Account Access

You must maintain control over your account and ensure that no one under the age of 18 gains access to it. You are fully responsible for all activity conducted under your account, including unauthorized use, accidental access by minors, or purchases made by anyone using your credentials.

FlippX may restrict or terminate accounts that are accessed by ineligible individuals.

4.4 Restricted Locations

You agree that you will not access the Platform from any Excluded Territories, including but not limited to:

• The U.S. states of Washington and Idaho,
• All U.S. territories,
• The province of Quebec in Canada,
• Any region where FlippX services are not permitted by local law.

FlippX may verify your location using geolocation tools, device checks, or other methods.

4.5 Personal Use Only

You agree to use the Platform solely for personal, non-commercial entertainment. Prohibited uses include, but are not limited to:

• Commercial exploitation of the Platform
• Automated data scraping or harvesting
• Unauthorized promotional use
• Institutional or organizational usage without FlippX approval

4.6 Accuracy of Information

You represent and warrant that all information you provide to FlippX—such as identification, contact information, payment credentials, and account details—is complete, accurate, and up to date.

Providing false, misleading, or outdated information may result in:

• Account suspension
• Revocation of licenses
• Loss of Virtual Currency or promotional rewards
• Permanent exclusion from the Platform

4.7 Fraud Prevention

You agree not to engage in fraudulent, abusive, or manipulative behavior, including but not limited to:

• Creating multiple accounts
• Using bots, automation, or unauthorized scripts
• Manipulating referrals or rewards
• Attempting to exploit software vulnerabilities
• Misusing promotional offers

Violations may result in:

• Account termination
• Loss of Virtual Currency, XP, or rewards
• Reversal of unauthorized activity
• Legal action where applicable

4.8 Internal Eligibility Restrictions

Employees of FlippX, its affiliates, partners, or contractors directly involved in platform development or promotional programs—and their immediate household members—are not eligible to participate in promotional reward activities.

Former employees must wait three (3) years after the end of their employment before participating.

4.9 Payment Method Requirements

For any transactions related to Virtual Currency or digital items:

• You must use a valid and authorized payment method belonging to you.
• You agree to comply with all applicable financial and regulatory requirements.
• FlippX reserves the right to block, reverse, or investigate any suspicious or unauthorized transactions.
• FlippX may report suspected fraudulent behavior to financial institutions or relevant authorities.
